-Privacy notice / password / user name

Frederic Basset Images respects your privacy, protects your personal data and does not share information with third parties

Frederic Basset Images is free to grant a user name and a password to a visitor who applies, or not. Frederic Basset Images reserves the right to suspend a user name and a password at any time and to inform the authorized user thereof by an e-mail sent to the address shown in the registration form.

If Frederic Basset Images should decide to suspend an authorized user’s user name and password, either temporarily or permanently, that authorized user undertakes no longer to view the site basset-images.com, to destroy all the low resolutions images that s/he has already downloaded or copied onto any medium whatsoever.

The authorized user is required to keep the user name and the password sent by Frederic Basset Images absolutely confidential. He may not communicate it to anyone without the prior written consent of Frederic Basset Images. The authorized user will be responsible for any use of his user name and password performed with or without his permission and, in particular, will be obliged to compensate Frederic Basset Images in the event of fraudulent use of the images.

-Low resolutions

The authorized user is allowed to download the low resolutions images, as appearing on the site, for purposes of artwork, document preparation or project. These low resolutions images may not be used commercially without the prior consent of Frédéric Basset Images.

-Limitations of liability

The Recipient acknowledges that the images appearing on the site basset-images.com may be subject to additional authorization or to restriction depending on the planned uses.

The Recipient will be solely responsible for obtaining these additional authorizations from photographers, models, and other rights holders, unless contrary provisions are stated in the contract for assignment of the right to reproduce.

Any use that is not in accordance with the description included in the contract assigning rights to reproduce and for which the authorized user had to ask for additional authorizations may not lead to any liability whatsoever on the part of Frédéric Basset Images

In any event, the limit of liability of Frédéric Basset Images shall be the sum paid to it per the invoice for the use of the particular image (s) involved. Authorised user will hold Frédéric Basset Images harmless from all claims for the use of the images, including defamatory use.

–Right of reproduction and intellectual property

The Recipient acquires the right to reproduce the image (s) by signing a contract with Frédéric Basset Images that specifies, among other things, the conditions of use of the image(s) and by making complete payment of the corresponding invoice.

The Recipient does not acquire any right, title or interest in or to any image, including, without limitation, any electronic reproduction or promotional rights, and will not make, authorize or permit any use of the particular image(s), plate(s) or digital files made there from other than as specified herein.

The Recipient acknowledges and agrees that the copyright an title to the ordered image(s) are and shall remain with Frederic Basset Images and the authors.

The Recipient hereby agreed not to claim any property rights on those images.

The image(s) shall be faithfully reproduced, and, unless Frédéric Basset Images gives its express written consent in advance, shall not be cropped, colorized, solarized, overlaid with text, or otherwise altered in any
way (except as to overall size). Full credit and copyright information must remain with the image (s).

The Recipient shall provide Frédéric Basset Images with two (2) free copies of such publication immediately upon printing.

Any republication, any new appearance or publication, any transfer to another medium or to another title, to a database or to third parties is prohibited without prior written permission from Frédéric Basset Images.

-Warranties

Once the Recipient has signed a contract for assignment, he warrants Frédéric Basset Images against any non-complying use of the assigned image(s) and against any claim from third parties for a non-complying use of any assigned image(s)

Frédéric Basset Images shall not be held liable for any wording (text, title, caption, etc.) that accompanies the image (s). In the same way, Frédéric Basset Images shall not be held liable for the use made by the Recipient of any image (s) or for any complaints or law suits from third parties concerning the use by the Recipient of any image.

-Invoicing and payment conditions.

Frédéric Basset Images shall apply the following invoicing and payment conditions.
-Invoicing date : the date of delivery of the image(s) to the Recipient by Frédéric Basset Images
-Payment term : 30 days as of the invoice date.
Frédéric Basset Images’ invoice(s) shall be paid by the Recipient immediately upon receipt within 30 days date of invoice in Euro currency, either by check or wire transfer.

In the event of late payment of Frédéric Basset Images’ invoice(s) by the Recipient, Frédéric Basset Images shall be entitled to invoice a penalty/late payment interest of 1% (one percent) of the outstanding invoiced amount per month of late payment.

Also, Frédéric Basset Images shall be entitled to immediately terminate the right to reproduce granted under the contract if Frédéric Basset Images’ invoice(s) for the right to reproduce price remain(s) unpaid on the 10th of the month following a period of 90 days as of the invoice date.

-Entire Agreement

This contract contains all the terms of the agreement between Frédéric Basset Images and the Recipient concerning delivery and review of the image(s), and no terms and conditions may be added or deleted unless made in writing and signed by both Frédéric Basset Images and the Recipient.

This agreement is not assignable or transferable on the part of the Recipient.
